1. Acceptance of Terms

These Terms of Use ("Terms") are an agreement between you and Connect AI Portal L.L.C., a company registered in Dubai, United Arab Emirates ("we", "our", or "us"). By downloading, installing, or using the xflow messenger application ("xflow") or the AgentFather personal-agent service ("AgentFather") — together, our "Services" — you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

2. Description of the Services

Our Services are the xflow messenger app and the AgentFather personal-agent service, both products of Connect AI Portal L.L.C. xflow is an AI-powered communication assistant that helps you manage conversations more efficiently: it analyzes your messages, prioritizes conversations, and uses AI to predict the best message to send. AgentFather gives you a personal AI agent that works in the background and carries out tasks you give it, using the access and credentials you choose to grant. The Services are currently available as beta services, and features may change without prior notice.

3. Eligibility

You must be at least 13 years old to use the Services. By using the Services, you represent and warrant that you meet this age requirement. If you are under 18, you must have parental or guardian consent to use the Services.

4. Account Registration

To use certain features of the Services, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to update it as needed.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful, harmful, or fraudulent purpose.
• Transmit spam, malware, or any harmful content through the Services.
• Attempt to reverse-engineer, decompile, or disassemble the Services.
• Interfere with the Services' infrastructure or other users' access.
• Use the Services to harass, threaten, or impersonate others.
• Circumvent any security measures or access controls.

6. AI Actions & Autonomy

The Services use AI to predict messages, provide communication assistance, and carry out tasks. AI-generated content and actions are provided "as is" and may not always be accurate, appropriate, or complete. In xflow, you are solely responsible for reviewing and approving any AI-predicted message before sending it, and we are not liable for any consequences arising from the use of AI-predicted messages.

AgentFather can take actions on your behalf using access you grant (API keys, connected accounts and services). You are responsible for the permissions you grant and for reviewing your agent's autonomous actions. Connect AI Portal L.L.C. is not liable for the outcomes of actions you authorized.

7. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, software, and design — are the exclusive property of Connect AI Portal L.L.C. and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

8. User Content

You retain ownership of any content you submit through the Services, including messages, tasks, files, and profile information. By using the Services, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Services. We do not claim ownership of your messages or personal data.

9. Subscriptions & Payments

xflow offers a weekly subscription at $3.99 per week (USD). The subscription provides access to all premium features of the app, including AI-powered conversation prioritization, AI message predictions, and multi-messenger support.

Key subscription terms:

• Payment is charged to your Apple ID account at confirmation of purchase.
• The subscription automatically renews each week unless auto-renew is turned off at least 24 hours before the end of the current billing period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of $3.99/week.
• You can manage and cancel your subscription at any time through your Apple ID Account Settings on your device.
• Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription.

All xflow payments are processed through Apple's App Store. Apple's standard terms, conditions, and refund policies apply to all transactions. Prices may vary by region and are subject to change with notice.

AgentFather is currently free to use during its beta. To power your agent, you may connect your own AI-provider key and pay that provider directly for model usage ("bring your own key"). Those payments are made to the provider under its own terms — we do not process or receive them. If paid AgentFather plans are introduced, pricing will be announced in the service before you are charged.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, if we believe you have violated these Terms. Upon termination, your right to use the Services ceases immediately. You may also delete your account at any time by contacting us.

11. Disclaimers

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Your use of the Services is at your sole risk.

12. Limitation of Liability

To the maximum extent permitted by law, Connect AI Portal L.L.C. and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability shall not exceed the amount you paid for the Services in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Connect AI Portal L.L.C. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Dubai, without regard to conflict of law principles.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the Services and updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the revised Terms.
